In accordance with the order dated 30.10.2025 and 06.11.2025 that has been passed by the Hon’ble National Company Law Tribunal, Mumbai Bench in Company Petition No. CP (CAA) No. 201/MB/2025, the Ice Cream Business Undertaking of Hindustan Unilever Limited stands demerged and vested, as a going concern, into a separate legal entity, namely Kwality Wall’s (India) Limited, under a duly approved Scheme of Arrangement framed under Sections 230–232 of the Companies Act, 2013.
To avail the Kwality Wall’s Ice Candy Offer, you hereby agree to the following terms and conditions:
1. Buy any of the following Kwality Wall’s Ice Candies and get a chance to win another free Ice Candy with a successful promo code inside each product pack (“Offer”). Offer applies to following Ice Candies by Kwality Wall’s:
Kwality Wall’s Twister Pineapple - 65 ML
Kwality Wall’s Twister Mango - 65 ML
Kwality Wall’s Nutty Bar - 50 ML
Kwality Wall’s Mango Duet - 45 ML
Kwality Wall’s Blackcurrant Duet - 45 ML
2. The Promo Code shall be written on stick. To avail the Offer, the Consumer shall provide the said Promo Code to the Kwality Wall’s Retailer, who will check the code on the stick and will validate the Promo Code. On every Promo Code being successful, the consumer wins any one of the above-mentioned Kwality Wall’s Ice Candies. The consumer will receive a free Rs. 18 Stick in lieu of Kwality Wall’s Twister Pineapple - 65ml or Kwality Wall’s Twister Mango - 65 ML or Kwality Wall’s Nutty Bar - 50 ML and the consumer will receive a free Rs. 9 stick in lieu of Kwality Wall’s Mango Duet - 45 ML or Kwality Wall’s Blackcurrant Duet - 45 ML.
3. The Offer is valid between 1st March 2026 to 30th April 2026 and subject to these terms and conditions.
4. Any of the above listed Kwality Wall’s Ice Candies purchased containing the Promo Code sticks from 1st May 2026 onwards shall not be eligible for this Offer / redemption.
5. Any of the above listed Kwality Wall’s Ice Candies purchased not containing the Promo packaging offer from 1st May 2026 onwards shall not form a part of this Offer / redemption.
6. The word “Chance” on the Promo packaging offer does not guarantee that on the purchase of the above listed Kwality Wall’s Ice Candies the consumer will win a corresponding free Ice Candy.
7. This Offer is valid in Select Outlets and Cities in India.
8. The Offer is explicitly not available in the State of Tamil Nadu due to applicable State Regulations.
9. This free Kwality Wall’s Ice Candy won as prize in this Offer, is not exchangeable for “cash” or to be sold to others.
10. This Offer is being made purely on a “best effort” basis and Kwality Wall’s (India) Limited shall not be liable for any failure of the Retailer/Shopkeeper to comply with its obligations and honor this Offer.
11. Kwality Wall’s (India) Limited reserve the right to, terminate, modify or extend this Offer at any time at its absolute discretion, without assigning any reason and without prior intimation.
12. Kwality Wall’s (India) Limited will not enter into any correspondence, including email, SMS with non-winning consumers, with regards to this Offer.
13. Apart from the entitlement to the above prize (1 Free Ice Candy per successful Promo Code), the winning consumer will have no other rights or claim against Kwality Wall’s (India) Limited.
14. This Offer is subject to Force Majeure conditions. It being clarified that Force Majeure includes events such as war, endemic, pandemic, natural calamities, etc.
15. The decision of Kwality Wall’s (India) Limited as to the interpretation of any Clause shall be final and binding on the consumer.
16. This acceptance of the terms and conditions shall be deemed to have been given at Mumbai, Maharashtra, India and the courts in Mumbai alone will have exclusive jurisdiction to entertain any proceedings in any way relating to or concerning these terms and conditions.
17. Participation in this Offer is purely voluntary and shall be deemed as acceptance of all the terms and conditions mentioned herein.
18. Participant should not share any personal information such as Name, Mobile Number, etc. with the Retailer as part of this campaign.
